一、中国油气石油化工集团公司是一家资产雄厚的集团公司，中国油气控股公司是一家香港上市公司，始建于二00六年一月八日。并“中国·中勘石油天然气化工集团公司”始建于二00二年十二月二十日，“中国·中炼联合石油化工集团公司” ，始建于二00二年七月十日，同呈由国家工商行政管理总局（国）内核变字【011-01-17】第17号文件、（国）内核变字【013-05-27】第810号文件批复核准的内资企业。
1. China Oil & Gas Petrochemical Group Limited is a corporation with strong assets and China Oil and Gas Holding Company is a Hong Kong listed company found in Jan 8th, 2006. China Exploration Oil & Gas Chemical Group Limited was found in Dec 12th, 2002, and China United Petroleum Chemical & Refining Group Limited was found in Jul 10th, 2002, under authorization of【011-01-17】- #17 and【013-05-27】- #810 documents issued by State Administration for Industry and Commerce.

二、中国油气、中勘油气、中炼油气三大油气板块功能融为一体化产业结构，集贸易、勘探、开发、炼化配套工程产业链，具有全资独立法人资格，并统筹上设一个董事局、常务委员会，下设部、委、办，实行一元化领导。

China Oil & Gas Petrochemical Group Limited, China Exploration Oil & Gas Chemical Group Limited and China United Petroleum Chemical & Refining Group Limited are three petroleum & chemical sections merged into integrated industrial structure, in set of trade, exploration, development and refining industry support. They have wholly owned independent legal personality and under centralized leadership that, in co-ordination with Board of Directors and Executive Committee, while in execution with structure of ministries, commissions and offices.

四、中国·中勘石油天然气化工集团公司，主营业重点放在国内外油气田、煤田、矿产资源勘探、开发、技术服务等。同时掌控大型石油机械设备采购、销售、海上钻机平台CP-300系列整机，以及陆地大型钻机进出口业务，唯独一家由国资委并中国石油渤海辽河重工、石油装备制造总公司授权单位。
4. China Exploration Oil & Gas Chemical Group Limited is majored in exploration, development and technical support of oil and gas field, coal field and mineral field, both domestic and international. Also, it takes charge of procurement and sales of offshore drilling rigs platform CP-300, as well as import and export business of large land rig and machinery. It is the only one company authored by State-owned Assets Supervision and Administration Commission (SASAC) and China Petroleum Industry and Petroleum Equipment Head Office in Liaohe, Bohai.

五、中国·中炼联合石油化工集团公司，主营业务是与大型中央企业，中国石油、中国石化五大炼油厂①中国石化股份公司广州分公司②上海分公司③茂名分公司④镇海炼油厂⑤中国石油大连西太平洋石油化工有限公司，购进轻质原油来料加工、重质油进行精制深度加工。

China United Petroleum Chemical & Refining Group Limited is majored in trade with five state-run refineries, 1) China Petroleum & Chemical Corporation Guangzhou Branch; 2)Shanghai Branch; 3)Maoming Branch; 4)Zhenhai Refinery; 5)China Petroleum Dalian West Pacific Petrochemical Co., Ltd, for crude oil and heavy oil processing.

六、中国油气石油化工集团公司组建宜始，便针对中国现有的能源产业结构，目前仍处于高度行业垄断地位的管理政策与体制，为此我司制定了完善运营体制，坚决贯彻执行运营机制“走出去、走上去、再打进来”，总体战略部署，在国务院发布新的36条以后所制定一系列方针、政策、路线指引下“进行能源产业结构一次大整合，实行了能源多元化创新，调整集约化经营”改制，“与诸多石油输出国真诚合作”，努力实现多赢”的方针和战略。正是在这一富有前瞻性的经营理念和战略思想指导下，汇集了中外一大批资深石油、化工、勘探、开发、机械、贸易、法律和外语等专家学者和有识之士。我司历经十多年来的艰苦奋斗，拼搏进取，截止2013年7月为止：在国内已相继整合并组建了——中国油气驻北京办代表处、驻成都代表处、驻天津代表处。
Based on the structure of Chinese current energy industry which is in monopolistic policy and system, China Oil & Gas Petrochemical Group Limited found thorough operation system on the beginning. We firmly implement the strategy of “Internationalization before localization” and follow the new 36 policies issued by State Council, aiming at “diversifying energy industry and adjusting intensive management”, “sincere cooperation with oil-exporting countries” and “achieving multi win”. Guided by prospective operation principle and strategy, China United Petroleum Chemical & Refining Group Limited gathers a large number of both domestic and foreign talents and experts in fields of petroleum, chemical, exploration, machinery, trade, law and languages. After more than ten years’ efforts, until July of 2013, we have found Beijing Representative Office, Chengdu Representative Office and Tianjing Representative Office.

七、同呈中国油气、中勘油气、中炼油气融为一体，现三大油气板块相继组建成立了下设——中勘油气四川公司、湖北公司、江苏公司、上海公司、天津公司、青岛公司、深圳公司等八个全资独立子公司法人单位。同呈由国家工商行政管理总局（国）内核字第64号、第654号、第1068号、第1413号文件核准批复的四个全资独立法人单位为中勘石油天然气化工集团公司直属公司，为别为——中勘石油天然气勘探开发有限责任公司、中勘石油天然气股份有限公司、中勘石油天然气控股有限公司、中勘石油天然气化工进出口总公司。
Also, in order to achieve integration of China Oil & Gas Petrochemical, China Exploration Oil & Gas Chemical and China United Petroleum Chemical & Refining, the three section found eight independent legal entity wholly owned subsidiaries in names and locations of Sichuan, Hubei, Jiangsu, Shanghai, Tianjing, Qingdao and Shenzhen. Additionally, authored by State Administration for Industry and Commerce with documentation #654, #1068, #1413, four independent legal entity wholly owned companies directly under control of China Exploration Oil & Gas Chemical Group Limited: China Exploration Oil & Gas Development limited, China Exploration Oil & Gas Incorporation Limited, China Exploration Oil & Gas Holdings limited, China Exploration Oil & Gas Chemical Import & Export Corporation limited.

八、国内A、勘探方面我们有国内实践，有创造、有理论一大批地质专家、地球物理专家，在世界独有的烃类检测技术，多、快、好、省的完成区域勘探和油田开发方案，同时引进美国、澳大利亚等国的高新、高科、高能技术，已有五项获得国家专利。
8. Domestically:
A. In field of exploration, we have a large number of experts in geology and geophysics. Unique hydrocarbon detection technology helps us complete regional prospecting and oilfield development rapidly, successfully and economically. Meanwhile we imported high-tech and high-energy new technology from the US and Australia, and get five national patents.

B、我们有大庆长桓以西“平洋油田”可开采面积98.2平方公里，国有控股为中国石油股份公司占20%股份，中勘占80%，总投资6亿美金，正式投产后，在三年内产能可完成700万吨轻质原油，总产值已突破350亿元人民币，并收购了中国内蒙古766平方公里的区块，总投资40亿美金五年内可完成1,000万吨轻质原油的产能，总产值已突破500亿元人民币。
In the Pingyang Oilfield with 98.2 square kilometers’ productive area and located in west of Changgeng, Daqing, China Exploration & Gas Chemical Group holds 80% of the shares and China National Petroleum Corporation holds the other 20%. The program total investment is six hundred million US dollar. After formally putting into production, this oilfield will produce seven million tons’ light crude oil, with total output value of more than thirty-five billion RMB. We have invested forty hundred million US dollar and acquired a 776 square kilometers’ region in Inner Mongolia that will produce ten million tons’ light crude oil and fifty-five billion RMB output value within five years.

C、为加速我国的能源战略部署，尽快的适应新时期能源的需求与新疆生产建设兵团农七师137团合作开发油母页岩矿藏开发，可开采面积168平方公里，油母页岩的厚度平均达360米，油页岩含油量平均14%，综合利用高达85%以上进行全面开采，一期工程投资5亿元人民币，产能67万吨人造原油。总产值已突破40亿元人民币。
C. We have cooperation with Xinjiang Production and Construction Corps Seven Division 136 Regiment to exploit oil shale deposits, which has 168 square kilometers’ productive area, oil shale in an average depth of 360 meters, oil content of 14% and comprehensive utilization rate of 85%. This program was firstly invested five hundred million RMB. It has capacity of six hundred seventy thousand tons’ synthetic crude oil. The total output value is more than four billion RMB.

9. We assign our oil exploration and exploitation works with traditional Chinese culture and modern concepts, focusing on education and development of talents. The managements of the three groups have experience in abroad study and/or transnational enterprises. All staffs own bachelor degree or above, coral members own master or doctor degree. The three groups built solid teams cooperated with Chinese remarkable university and research institute, as well as National Energy and Commerce Department, Export-Import Bank of China, Price Research and Management Department. We are approaching the company responsibility meeting the requirement of harmonious society and also competition in a market economy.

十、国外，前北京油气公司仍在注册之中，于二00八年六月二十四日已加入俄罗斯联邦莫斯科国际商会，而且授权中国唯一一家俄石油化工产品系列独家代理公司，而且在俄罗斯联邦、白俄罗斯组建了①OOO“OИЛ и ГAЗ KP” 中俄油气炼化集团有限责任公司；②ООО“КРГКРОНР”中俄油气勘探开发集团有限责任公司③OOO“нефтеперерабатывающая Корпорация”俄罗斯联邦油气炼化集团有限责任公司；在俄罗斯联邦、白俄罗斯组建三大油气板块，现已正式安全运营与国内的三大油气板块并轨对接，其主要功能将启动【2因子】加工俄罗斯轻质原油，降低中国油气石油化工集团公司原采购石油产品及化工产品总成本降幅达40%以上，并与白俄罗斯苏尔古特石油天然气公司下属的炼油厂为代表联合五大炼制企业签署①原油购销合同②原油加工合同③管道输油合同④铁路运输合同⑤港口仓储合同⑥港务作业计划合同及相关文件。合同执行期为60个月（5年），加工返还石油产品重油、柴油、汽油、JP54航空煤油及化工产品总量已突破1亿吨以上/5年，总产值已突破1,500,000,000,000元以上人民币（壹万伍仟亿元）。
10. Abroad, the Beijing Oil & Gas Company is in registration. It joined into International Chamber of Commerce Moscow, Russian Federation, and it’s the only one company authored to agent Russian petroleum and chemical products in China. Also we have found①OOO“OИЛ и ГAЗ KP” (China-Russia Oil & Gas Refining Group Limited)；②ООО“КРГКРОНР” (China-Russia Exploration Development Group Limited) ③OOO “нефтеперерабатывающая Корпорация” Russian Federal Oil & Gas Refining Group Limited in the Russian Federation and Belarus building three oil & gas sections in these two countries in order to connect domestic sections. Their major function is to launch and operate “Factor 2” project that processes Russian light crude oil and decreases more than 40% cost of petroleum and chemical product purchase for China Oil & Gas Petrochemical Group Limited. With five refining corporations led by the refinery under control of Surgut Petroleum and Gas, we have signed 1) Crude oil purchase and sale contract; 2)Crude oil processing contract; 3) Pipeline oil contract; 4)Railway transportation contract; 5)Harbor storage contract; 6) Harbor construction plan contract and related documents. In sixty months contract execution period, total amount of heavy oil, diesel oil, gasoline, JP54 kerosene is more than one hundred million tons for five years, with total value of out-put of more than RMB 1,500,000,000,000 (1.5 trillion Yuan).

十一、在南美与委内瑞拉“艾西欧石油集团有限公司”签署了能源多元化合作协议书，在南亚中国油气、中勘油气、中炼油气三大油气板块与马来西亚国油实现了紧密合作并以三大油气板块，多功能分项别类签署管道工程1,800多公里、2,000万吨级炼油厂、设计、建设、安装工程、与炼油厂、配套火力发电厂、热电厂、天然气压力容器储罐、油品储存罐区群组项目，石油天然气总储量已突破了10亿立方米，油品储量达到1,800万吨以上配套工程，总产值已突破2,000亿元人民币（贰仟亿元人民币），利税占总产值35%以上。
11. In South America, we have contrasted agreement of diversified energy cooperation with Venezuela “Aisssiou Energy Group Limited”. In Southern Asia, we have launched closely corporation with Malaysia and signed contrast of serious projects of 1,800 kilometers’ pipeline, twenty million tons level refinery, construction and installation, engineering design, supporting power plants, natural gas storage pressure vessel and oil storage tank. The total supported storage amount is more than one billion cubic meters of natural gas and eighteen millions of oil. The total value of out-put is more than two hundred billion RMB, in which the percentage of profit and tax is more than 35%.

十二、现在，以中国油气石油化工集团公司为龙头，将拉动中勘油气、中炼油气“三大油气板块为一体化”的跨国能源集团公司，已与俄罗斯联邦、白俄罗斯、哈萨克斯坦、阿塞拜疆、乌克兰独联体国家以及尼日利亚、伊朗、毛里塔尼亚等多个产油国签署供销合同，执行期为60个月（5年），原油总量为3,600万吨、成品油总量为4,000万吨、燃料油总量为5,000万吨的长期合作并签署了大“外贸合同”。
由于我三大油气板块集团公司，经营理念和战略的前瞻性和科学性，使集团经营充满了生机和活力。即使在全球性“金融危机”肆虐的情况下，我三大集团公司董事局及时调整策略：“放缓贸易，全力抢抓能源资源储备”。
12. Currently, the integrated three oil & gas sections, led by China Oil & Gas Petrochemical Group Limited, has contrasted with multiple oil export countries including Russia, Belarus, Kazakhstan, Nigeria, Iran and Mauritania. In sixty months contrast period, the annual total crude oil amount is thirty-six million tons; the annual total refined oil amount is forty million tons; and the annual total fuel oil amount is fifty million tons. Due to the prospective and scientific management principle and strategy, our group is filled with energy. In the global financial crisis time, the Board of Directors of our group timely adjusted strategy into “slow down trade and focus on energy and resource reserve.”

十三、正是在这两年中，我三大集团公司逆势而上，成功签下了非洲毛里塔尼亚近两千多平方海里的海上油田开发，已探明的储量20亿吨以上；签下了俄罗斯中部近一千多平方公里西伯利亚【伊根】内陆油田，原油总储量35亿吨以上，天然气储量已探明的200亿立方米；签下了俄远东总储量高达30亿吨的优质露天煤矿等多国大中型能源合作开发项目。为三大集团公司的可持续性发展进一步拓展了战略空间。
近两年来，我三大集团公司坚定不移贯彻执行与时俱进的方针，又在南美、南亚诸国大力开拓了海上钻机平台CP-300系列整机，总贸易额已突破1,000,000亿元人民币（壹佰亿元人民币）。
13. Just in those two years, our group successfully obtained the mining rights to explore and develop offshore oilfield in Mauritania, with total proven reserves of more than 2 billion tons; we had signed a more than one thousand square kilometers land oilfield in Siberia Egan, with total reserves of more than 35 billion tons; we had signed a developing project of 30 billion tons high quality opencast coal mine in far east Russian. Those projects significantly widen our group’s strategy space in sustainability.
In recent years, our group put large effort on exploration of offshore rigs platform CP-300 in South America and South Asia, with total trade value of more than ten billion RMB.

14. Lake oil pollution clean-up, development and treatment in Venezuelan; restoration and secondary development of more than twenty thousands of waste oil wells; natural gas recycling; design and construction of large-scale refinery; large-scale gas pipeline project; planning and construction of port terminals; research and export of large/medium scale of construction and equipment, these energy industry related market build new foundations of sustainable development for our group.

15. Due to the huge number of import & export energy trade, as well as the projects in South Asia, South America and Africa, we have signed joint development agreement with China National Petroleum Corporation, China Petroleum and Chemical Corporation and China National Offshore Oil Corporation).

The heavily involving in international energy projects has drawn significant attention and obtained actively corporation from China State of Council, the State Development and Reform Commission, Ministry of Commerce, Bureau of Energy, as well as the three state-run corporations (China National Petroleum Corporation, China Petroleum and Chemical Corporation and China National Offshore Oil Corporation).We are now applying the prime policy support and treatment, the same as the three state-run corporations, for China Exploration Oil & Gas Chemical Group Limited and China United Petroleum Chemical & Refining Group Limited, ensuring extraordinary future development.

十七、香港·上海汇丰银行，鉴于中国油气石油化工集团公司所采购、加工原油、成品油、燃料油贸易额巨大，全力推荐为中华人民共和国香港特别行政区并入大型能源企业。中国油气合法司资已由香港的国际律师事务所办理了公证法律文书并由香港特别行政区高等法院于2013年 4月8日办理法律公证文书并加签公章钢印，依据1961年海牙公约对所签署合同进行了国际公证。该公证文书在世界120多个国家均予以承认并受国际法律保护。从而，这一见证进一步增强了中国油气这一“三位一体”产业结构跨国能源企业的国际知名度、公信力与竞争力。

As the huge trade amount of crude oil, product oil and fuel oil, Hong Kong and Shanghai Banking Corporation (Hong Kong) has recommended China Oil & Gas Petrochemical Group Limited to be listed as the big energy companies of Hong Kong. Hong Kong international law firms for Chinese oil and gas group eligible for legal notarization, and by the high court of the Hong Kong Special Administrative Region on April 8, 2013 for legal documents and sign the official seal, and notarized the signed trade contracts according to the Hague convention of 1961. The notary documents have to be recognized and protected by law in the world more than 120 countries. Thus, the witness further enhanced the Chinese oil and gas of the "the Trinity" industrial structure of multinational energy company international visibility, credibility and competitiveness.
